About our services

TechPower Solutions Inc. is a technology reseller and solutions provider. We resell hardware, software, and cloud products manufactured or published by third parties ("OEMs"), and we provide professional services such as assessment, architecture, procurement, deployment, and managed support. Third-party products are subject to the applicable manufacturer's terms, licenses, and policies in addition to these Terms.

Quotes, orders, and pricing

• Quotes are estimates and are not binding until accepted by TechPower in writing. Quotes may expire and are subject to product availability.
• Pricing is subject to change without notice and may be affected by manufacturer pricing, currency, taxes, shipping, and availability.
• An order is accepted only when confirmed by TechPower. We may decline or cancel an order, including for pricing errors, suspected fraud, or product unavailability.
• Unless stated otherwise, prices exclude applicable taxes, duties, and shipping, which are your responsibility.

Payment

Payment terms will be set out in your quote, invoice, or a separate written agreement. Unless otherwise agreed, invoices are due on the terms stated, and late amounts may accrue interest and reasonable collection costs as permitted by law.

Shipping and delivery

Delivery dates are estimates only and are not guaranteed. Many products ship directly from the manufacturer or distributor, and delivery is subject to their fulfillment timelines. Risk of loss passes to you upon delivery to the carrier unless otherwise agreed in writing.

Returns, warranties, and RMA

Because we resell third-party products, returns, exchanges, warranties, and repairs are governed primarily by the policies of the original manufacturer (OEM) for each product. In general:

• Returns and exchanges follow the applicable OEM and distributor return policy, including any return window, restocking fees, and condition requirements (for example, products must typically be unused, unopened, and in original packaging).
• A Return Merchandise Authorization (RMA) may be required before any return or exchange. Returns sent without a required RMA may be refused.
• Warranties are provided by the manufacturer. TechPower passes through the applicable OEM warranty and does not provide a separate warranty on resold products unless expressly stated in writing.
• Certain items are non-returnable under OEM policy, including software, cloud subscriptions, licenses, special-order or custom-configured products, and opened or activated items.
• Defective products are handled under the manufacturer's warranty and RMA process. We will reasonably assist in coordinating an OEM warranty claim or RMA.
• Professional services are non-returnable, though we stand behind our work as described in the applicable statement of work or service agreement.

Third-party products and services

Your use of third-party products and services is governed by the applicable manufacturer's or provider's terms, end-user license agreements, and privacy policies. TechPower is not responsible for third-party products, services, or content, and your remedies for those products are with the applicable manufacturer or provider.

Acceptable use of our website

When using our website, you agree not to:

• Use the site for any unlawful purpose or in violation of these Terms.
• Attempt to gain unauthorized access to the site, accounts, or systems.
• Interfere with or disrupt the site, including by introducing malware or overloading our infrastructure.
• Scrape, harvest, or misuse content or data without our permission.

Intellectual property

The TechPower name, logo, and website content are owned by TechPower or its licensors and are protected by applicable laws. All other product names, logos, and brands are the property of their respective owners and are used for identification purposes only; their use does not imply endorsement.

Disclaimers

Our website and services are provided "as is" and "as available" without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement, except as expressly provided in a written agreement. We do not warrant that the site will be uninterrupted, error-free, or secure.

Limitation of liability

To the maximum extent permitted by law, TechPower Solutions Inc. and its affiliates will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or goodwill, arising out of or related to your use of our website, products, or services. Our total liability for any claim will not exceed the amount you paid for the product or service giving rise to the claim.

Indemnification

You agree to indemnify and hold harmless TechPower and its affiliates from claims, damages, liabilities, and expenses arising out of your misuse of the website, products, or services, or your violation of these Terms or applicable law.

Governing law

These Terms are governed by the laws of the State of Texas, USA, without regard to conflict-of-laws principles. The courts located in that jurisdiction will have exclusive jurisdiction over any dispute, unless otherwise required by applicable law.

Changes to these terms

We may update these Terms from time to time. When we do, we will revise the "Last updated" date above. Your continued use of the website after changes take effect constitutes acceptance of the updated Terms.
